    Role Description

    Assistant Company Secretary is reporting to Deputy Company Secretary and is part of Secretariat team of 4. This is a critical role focusing on legal entity management and driving best practice and consistent governance standards across 130 legal entities globally.

    Your main responsibilities will include:

    • Global legal entity management
      • Statutory compliance for 130 legal entities, using Diligent Entities software (master centralised data base) liaising with relevant overseas colleagues/corporate administrators and local law firms
      • Maintenance of Group Structure Chart
      • Initiating directorate changes as required
      • Company house filings, minutes and statutory books for 35 UK subsidiary entities
      • Maintaining global entity management master schedule (excel)
      • Maintaining global entity management procedures guide
    • Assisting with subsidiary directors training
      • Drafting written resolutions for subsidiary entities as required
    • Tax driven re-organisations
      • Assist with occasional tax-driven projects (such as capitalisations or restructuring of parts of the group); reviewing legal steps plans and assisting with execution, working with external legal counsel
    • Signatories
      • Overseeing the notarisation/apostille requirements for certain documents to be signed; advising on correct authorised signatories and procedures for document execution
    • Annual report and accounts
      • Verifying the “front end” of the annual report, working with Deloitte, Finance, ESG and IR
    • Stock exchange announcements
    • Capability to send RNS announcements as required from time to time
    • Subsidiary entities board meetings
      • Setting agendas and convening quarterly subsidiary board meetings for c 12 “Tier 1” entities
    • Taking minutes and progressing matters arising
    • Facilitating these meetings

    Other responsibilities:

    • Working knowledge of sharepoint, file management and oversight of Secretariat database (streamlined, up to date and easy to navigate for all users)
    • Working knowledge of Diligent Boards (stand in for EA on occasion, send papers to board / committees via Diligent Boards)
    • Project work – supporting Cosec on transactions; including due diligence and populating data rooms
    • Cosec intranet page – keeping this up to date with Cosec procedures and policies
    • Cosec procedures manual – compile and update practice notes
    • Ad-hoc duties from time to time, including providing cover for other Cosec team members as required
    • Joining regular Cosec team meetings, standing in for Deputy Company Secretary when required from time to time; 1-1 weekly meetings with Dep Co Sec

    Who You Are

    Skills and attributes:

    • Fully qualified ACIS with relevant experience in the Cosec office
    • FTSE100 experience
    • Large scale, global manufacturing or healthcare industry experience
    • Ability to build strong constructive relationships with colleagues around the globe
    • Persistence and drive required to enhance processes and build consistent governance across the group; assisting Deputy Company Secretary to achieve Cosec strategy
    • Rapid turnaround and delivery of tasks
    • Attention to detail, organised and efficient
    • Excellent written and oral communication skills at all levels
    • University educated – a law graduate ideally
    • Leadership qualities
