The Company Secretarial Assistant (CSA) will report to the Senior Assistant Company Secretary and support the department in the delivery of shareholder services, and ensuring that appropriate governance, regulatory and statutory compliance for the Group’s subsidiary entities is maintained.
The CSA will also support the effective administration of the Group’s share schemes, and contributes to an efficient and cost-effective service being provided to the Group. The role will need to demonstrate the highest level of personal integrity, as well as strong technical and professional capabilities.

Corporate Governance and Compliance
- Keep up to date with development in company law and corporate governance best practice.
- Help in the provision of a central source of guidance and advice to stakeholders with respect to the subsidiary governance framework.
- Ensure that all relevant announcements to the London Stock Exchange, including OTC releases, are made in a compliant and timely manner.
- Contribute to Annual Report and Accounts and AGM
Subsidary Governance
- Actively support the Group’s subsidiary governance, including filing of confirmation statements, preparation of minutes and arranging for the approval and filing and review of financial statements and managing overseas subsidiary filings.
- Drafting and review of procedural notes, minutes and resolutions, powers of attorney etc.
- Support the accurate maintenance of the statutory registers for the plc and the subsidiaries of the Group, responsibility for filings with Companies House (as appropriate) and ensuring that all internal databases are up to date.
Share Schemes
- Supporting the execution of objectives in relation to the Group’s share schemes.
- Ensure the timely reporting of data changes to the share plan administrator e.g., leavers, reinstatements, static details and deceased colleagues.
- Assisting with relevant tax documents and returns.
- Be the first point of contact for queries from colleagues and the share plans administrator and trustees on Executive share plans.
More about you
- Soon to be graduate of the Chartered Governance Institute or recently qualified and some listed PLC experience would be advantageous.
- Working knowledge of the Companies Act 2006, the UK Corporate Governance Code, UK Listing Rules and Disclosure and Transparency Guidance and any related best practice guidance
- Subsidiary governance experience.
- Good knowledge of GEMS, Diligent Boardbooks, EQ Insider (or similar), Word, Excel and Powerpoint applications.
- Good written and verbal communication skills (clear, concise and professional) and being aware of the need to manage messaging to different stakeholders.
- Ability to keep focussed under pressure, knowing when to move at pace and requesting further guidance when required and the ability to think strategically, plan and execute successfully.
